Steven M. Millan, P.Geo., President and CEO
Mr. Millan, of St. John's, Newfoundland, is former Vice President of Frontier and International Exploration for Petro Canada and former Executive Director of Newfoundland Petroleum Directorate. He has served on numerous industry, university, governmental, and professional boards and committees. Mr. Millan has extensive oil and gas exploration experience in Canada and 26 countries.

Gerard M. Edwards, MBA, Director and Chief Financial Officer
In 1995, Mr. Edwards co-founded Imperial Venture Corp/Canadian Imperial Venture Corp serving initially as president and director and then as director and CFO. Mr. Edwards has served as director of a number of public resource based companies over the past decade and is a principle and director of a number of private companies.

Kirby C. Mercer, BA, Director, Vice President, Corporate Secretary
Mr. Mercer, a resident of St. Johns, Newfoundland, has a broad business background at the executive level. Mr. Mercer is co-founder of Imperial Venture Corp. and Guigne Technologies Ltd., a St. John's- based high tech commercialized company.

Robert Smiley, BA, LL.B., Director
Mr. Smiley, a resident of Vancouver, British Columbia, has extensive business experience in securities, oil & gas, corporate law and merchant banking. Mr. Smiley is a principal of RGS Management Ltd.

Jerome (Jerry) Byrne, P.Eng., Director
Mr. Byrne has a Bachelor of Engineering degree from Memorial University. He is President and CEO of D.F. Barnes Group, an internationally recognized group of seven companies with over 400 employees. He is active in the Assoc. of Professional Engineers and Geoscientists of NL, Junior Achievement and the St. John's Board of Trade. He is also Past Chairperson and director of NOIA (NL Ocean Industries Association) and chairs several committees.
